Contract Management in an Organization: Clauses, Amendments and Signing in One System

A contract is more than a Word file: structured clauses, amendments with history and an electronic signing flow. What to ask when choosing contract software.

In many organizations a contract is a Word file passed around by email, with versions called "final", "final-final" and "really final". When someone changes the payment clause, the earlier version disappears and nobody knows who changed it, when or why. Contract management software keeps three things: structure (clauses), history (amendments) and the approval and signing flow.

What a contract record should hold

In Afrandeh contract management software each contract is recorded with a number, title, type (services, employment, lease, contractor, consulting, sales), status (draft, awaiting approval, approved, rejected), amount in rials, payment method, start and end dates and delivery deadline. The two parties, the first party (employer) and the second party (contractor), are recorded with name, national ID, representative, position and address, and a CRM party is optional so the contract can be tied to a customer.

Clauses, special conditions and guarantees

Clauses are recorded with a title and text, along with special conditions and notes, and guarantees and securities, with a preview of the contract showing the stamp and signature position. Structured clauses mean each clause is its own record, not part of one block of text.

Amendments instead of untraceable edits

The key point: once a contract enters the signing flow, clauses can be changed only through "record amendment" (with an optional reason), not by an ordinary form save. The amendment history keeps the previous and new title, so you can always tell how a clause changed over time.

Electronic signing flow

When a contract's status changes to "awaiting approval", and an active signing rule is defined for that contract type, the signing flow starts. Signers are determined by org-chart position, quorum, amount and date conditions and signature delegation. One rejection rejects the whole flow. If a signer is on leave, they can delegate their signing authority to someone else. In the current phase, only contracts are connected to this engine.

Referral, attachments and the rest of the organization

A contract can be referred like a letter, with a history of actions; files such as the signed text can be attached, and it can be sent in the internal chat, have its link copied, or be printed. In CRM, each customer's contracts are listed with their balance, and the amount consumed from a contract can be recorded with an optional invoice number. Contracts are part of office automation and the contract form type comes from BPMS.

Questions to ask before choosing software

  • Are clauses kept separately, or as one text?
  • After signing, can a clause change only through an amendment with history?
  • Does each contract type have its own signing rule?
  • Is signature delegation during leave supported?
  • Is the contract tied to the customer in CRM?

Frequently asked questions

How do we change contract clauses after signing?

In Afrandeh, once a contract enters the signing flow, clauses change only through "record amendment", and the amendment history keeps the previous and new title.

How does electronic signing of a contract start?

When the status changes to "awaiting approval"; if an active signing rule is defined for that contract type, the signing flow starts automatically.
